Company:Microvest NG (“MiClique,” “we,” “our,” or “us”)
Agreement:These Terms of Use constitute a legally binding contract between you and MiClique. They govern your access to and use of the MiClique mobile application, websites, web experiences, APIs, widgets, emails/SMS notifications, and any other online services that link to or reference these Terms (collectively, the “Services”). By creating an account, accessing, or using any part of the Services, you accept and agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Services Provided
2.1 Accounts and Profiles
We provide account registration and profile pages where you can choose a display name, handle, photo, and personal information data or bio. Your profile, followers, following list, and public posts are generally visible to others unless we offer and you use additional audience controls. You agree to maintain accurate registration information and to secure your credentials, including any multi-factor authentication.
2.2 Posting and Publishing
We provide tools to compose and publish short-form posts (microblogs) and attach media such as photos and videos. Formatting, length limits, and file types may evolve. We may transcode, compress, or reformat your media to optimize performance across devices, networks, and product surfaces. By uploading media, you confirm you hold the necessary rights and approvals to do so.
2.3 Interactions and Social Features
You may interact through reactions, comments, reposts/shares, quote-posts, mentions, and hashtags. We may display public metrics (for example, counts of views, reactions, comments, and shares). To reduce spam and abuse, we may impose rate limits or other friction or control measures on certain actions, or adjust the visibility of particular content or accounts.
2.4 Discovery, Feeds, and Recommendations
We provide personalized and non-personalized feeds, search, and recommendations that help you discover content and accounts. Recommendations may be influenced by your activity, the accounts you follow, interactions on the platform, and other signals. We may label content or accounts (e.g., “promoted,” “sensitive,” “age-restricted”) and may downrank or annotate content that could mislead or harm.
2.5 Notifications and Communications
We may send in-product and out-of-product notifications (email, push, SMS where applicable) about activity, recommendations, security alerts, or updates to our terms and policies. You can adjust notification preferences in settings, but certain service or security notices may be mandatory.
2.6 Direct Messaging (If Enabled)
If direct messaging is enabled in your region or on your account, you may exchange private messages with other users. We may apply automated or human review for safety, spam prevention, or abuse detection, consistent with applicable law. You are strongly advised to respect the privacy and preferences of recipients; do not send unwanted or harassing messages.
2.7 Media Processing, Subtitles, and Accessibility
We may automatically generate thumbnails, previews, subtitles, transcripts, or alternative text to improve accessibility and discovery. Automated outputs may contain errors; you are responsible for reviewing and correcting them where accuracy matters.
2.8 Safety, Reporting, and Appeals
We provide in-app mechanisms to report content or behavior that you believe violates these Terms or the law. We use a combination of automated systems and human review to address reports, including removal, visibility limits, feature restrictions, or account action. Where feasible and lawful, we provide notice and an opportunity to appeal decisions through channels we designate.
2.9 Creator, Business, and Verification Features
From time to time, we may offer features for creators or businesses (for example, verification badges, branded-content tools, profile categories, or promotional utilities). These features may require additional terms, eligibility criteria, fees, or documentation. Where they conflict, the additional terms will govern for that feature.
2.10 Advertising and Sponsored Content
We may display advertisements or sponsored content within the Services. Ads may appear adjacent to, before, after, or within content. We may tailor ad delivery based on your activity and settings. We do not sell information that directly identifies you to advertisers. You agree that MiClique may show ads alongside your content and profile without paying you, unless we expressly agree otherwise.
2.11 Third-Party Links, Embeds, and Integrations
The Services may contain links to third-party websites, content, or integrations. Those resources are not under our control, and their terms and privacy practices are their own. Accessing them is at your discretion and risk.
2.12 APIs and Developer Access
We may provide APIs or other programmatic interfaces. Use of such tools requires separate credentials and compliance with additional developer terms and technical policies. We may revoke or modify access at any time to protect users and the platform.
2.13 Trials, Betas, and Experimental Features
We may make experimental or beta features available. Such features are offered “as is,” may be withdrawn without notice, and may not be suitable for production use. Your feedback is voluntary; we may use it without restriction or obligation.
2.14 Service Availability and Changes
We aim for high availability but do not guarantee uninterrupted operation. Maintenance windows, outages, force-majeure events, third-party failures, or legal/regulatory reasons may affect availability. We reserve the right to change, limit, or discontinue any part of the Services at any time.
5. Your Content: Ownership, License, and Use
You remain the owner of the content you create and share on MiClique (“User Content”). To operate and improve the Services, you grant MiClique a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, cache, index, reproduce, process, adapt, modify, publish, transmit, display, perform, translate, create derivative works from, and distribute your User Content in any media or distribution methods now known or later developed, solely for the purposes of providing, operating, protecting, promoting, and improving the Services, and developing new features.
This license continues for as long as your content remains on our systems; it ends when the content is deleted from our active systems, subject to technical and legal retention described below. You authorize us to make your content available to other users consistent with your settings and to allow them to use your content as the Services permit (for example, viewing, sharing, quoting).
16. Liability
16.1 Limitation of Damages
To the fullest extent permitted by applicable law, MiClique and its parents, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, revenues, goodwill, data, or business interruption, arising out of or relating to these Terms or the Services, even if we have been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
16.2 Aggregate Cap
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of ₦50,000 (Fifty Thousand Naira) or the amount you paid directly to us for the specific Service during the six (6) months preceding the event giving rise to liability.
16.3 Specific Exclusions
Without limiting the foregoing, we shall have no liability for:
- User-generated content or third-party conduct;
- Loss or corruption of data or content, provided we have taken reasonable technical and organizational measures;
- Unauthorized access to accounts resulting from your failure to maintain appropriate security of credentials or devices;
- Delays, failures, or outages attributable to telecommunications or hosting providers, power failures, or other systems outside our reasonable control;
- Errors in automated outputs (for example, subtitles, transcripts, thumbnails) where reasonable efforts are made to improve quality; or
- Any reliance you place on content, metrics, or annotations presented within the Services.
16.4 Carve-Outs
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, willful misconduct, or death or personal injury caused by negligence to the extent such limitation is prohibited.
16.5 Basis of the Bargain
You acknowledge that the disclaimers and limitations in this Section reflect a reasonable and negotiated allocation of risk and form an essential basis of the bargain between you and us; the Services would not be provided without these limitations.
16.6 Time Limit to Bring Claims
Any claim or cause of action arising out of or related to the Services or these Terms must be commenced within three (3) months after the claim accrues; otherwise, such claim or cause of action is permanently barred, to the extent permitted by law.
